Activity: Design and development of business websites and related services.

These Terms apply to the use of the Site and to any contracts for services concluded with the Company. If a separate Scope of Work / Proposal / Order Form (“SOW”) is signed, the SOW prevails over any conflicting term herein. The Site may display “Client Project” case studies and demos that are ready to customize; demos do not represent active third‑party businesses unless expressly indicated.

1) Site Use & Legal Notice (LSSI)

1.1. Access to this website (the “Site”) implies acceptance of these Terms. The User agrees to a lawful, diligent use, not to harm the Site, and not to use it for unlawful purposes.

1.2. Intellectual Property of the Site’s code, layout, and content belongs to the Company or its licensors. Reproduction/distribution/transformation without authorization is prohibited.

1.3. Third‑party logos, trademarks, fonts, photos, icons, and libraries remain their owners’ property and are used under license.

1.4. External links are provided for convenience; the Company has no control or responsibility over third‑party sites/policies.

2) Privacy & Cookies (GDPR / LSSI)

2.1. Personal data sent via forms or bookings is processed per our Privacy Policy and Cookies Policy (linked in the footer).

2.2. When we act as processor (e.g., managing a client’s website/CMS hosting), we will sign a Data Processing Addendum (DPA) upon request.

2.3. We use cookieless analytics by default; ad/conversion tags (if any) are loaded only after consent.

3) Definitions (Services)

One‑Page: a single‑page marketing website with standard sections (hero, value, social proof, process, CTA, contact/map). No CMS by default.

Professional Pack (5–8 pages): a multi‑page corporate website typically including editable content (CMS “lite” for text/images/FAQs), and optional blog if expressly included in the SOW.

Add‑ons: extra language(s), extra pages, blog, integrations, programmatic local SEO, maintenance, etc. Only included if expressly listed in the SOW.

4) Project Start, Timeline & Acceptance

4.1. Kick‑off trigger. Timelines start when the Company confirms (i) the 50% initial payment is received and (ii) the Checklist Ready (logo/brand, page list, initial copy/assets or permission to use templates/stock) is completed.

4.2. Indicative timelines (business days; paused if Client materials/approvals are missing):
• One‑Page: up to 72 hours.
• Professional Pack: up to 10 business days.

4.3. Previews & Acceptance. Work is delivered on a private preview/staging link for review. The Client will (a) accept in writing or (b) return a single consolidated list of changes per the included revision time (see §5). If the Client provides no written feedback within 5 business days, the deliverable is deemed accepted for the purpose of invoicing/milestones.

4.4. After final acceptance and receipt of the 50% final payment, the Site is published on the agreed domain or delivered for deployment.

5) Revisions Included (fair‑use)

5.1. One‑Page: micro‑adjustments of text/style up to 30 minutes total after the preview.

5.2. Professional Pack: one round of text/style changes up to 2 hours total after the preview.

5.3. New sections/pages, redesigns, functional changes, migrations, or extra time beyond the above are out of scope and will be quoted separately (hourly or fixed).

5.4. Revisions must be provided in one consolidated list (email/Doc/issue) within 5 business days of the preview.

6) Support After Launch

6.1. Both plans include 30 calendar days of defect correction (“Support Period”) from first go‑live: broken links, layout bugs, deployment issues.

6.2. Support excludes content/design changes, feature requests, third‑party outages, or issues caused by later modifications by the Client/third parties.

6.3. Response target: within 24–48h on business days. No SLA unless a separate maintenance plan is contracted.

7) Payments, Taxes, Late Payment

7.1. Unless otherwise stated in the SOW, pricing is exclusive of taxes and third‑party fees (domains, email suites, paid stock, premium templates, CMS/hosting upgrades).

7.2. Milestones: 50% at order/kick‑off; 50% before publication/delivery (applies to One‑Page and Professional Pack).

7.3. Non‑refundable start fee. The initial 50% covers discovery, planning, setup, and allocated capacity; once work has begun, it is non‑refundable.

7.4. Late payment. Invoices are due upon receipt unless otherwise stated. The Company may (i) suspend work/access, and (ii) charge interest at the legal maximum or 1.5% per month (whichever is lower), plus reasonable collection costs.

7.5. Currency and VAT handling follow applicable law (EU VAT rules; reverse‑charge where applicable).

8) Client Materials & Responsibilities

8.1. The Client warrants it owns or has valid licenses for all content, images, logos, fonts, trademarks, and data provided, and grants the Company a license to use them for the project.

8.2. The Client is responsible for timely delivery of materials and approvals. Timelines pause while waiting for inputs.

8.3. The Client shall not upload unlawful, infringing, or harmful content. The Client indemnifies the Company from claims arising from Client‑provided materials.

9) Intellectual Property & License to Use

9.1. Upon full payment, the Client receives a non‑exclusive, transferable license to use the delivered website (code and compiled assets) for its business.

9.2. Re‑sale, sublicensing, or redistribution of templates/themes/components as standalone products is not permitted.

9.3. The Company may reuse generic components, utilities, and know‑how in other projects.

9.4. Third‑party assets (fonts, icons, stock, libraries) remain subject to their own licenses. If a Client‑specific license is required, the Client must procure it.

10) Performance, SEO & Third‑Party Services (Disclaimers)

10.1. Performance. We aim for fast mobile load on the base template. Any PageSpeed/Core Web Vitals figure is an engineering goal measured on clean builds and may vary with Client content, hosting tier, device/network, and third‑party widgets (maps, chat, booking, analytics).

10.2. SEO. Delivery includes technical SEO basics (titles/meta, robots, sitemap, OG, JSON‑LD schema). Rankings/traffic are not guaranteed.

10.3. Third‑party services (e.g., Vercel, email delivery, CMS, analytics, booking/telephony) are operated by their respective providers. The Company is not liable for their availability, policy changes, or incidents beyond reasonable control. Paid plans/upgrades are at the Client’s cost unless stated otherwise.

11) Maintenance & Changes After Launch

11.1. Ongoing maintenance, content updates, feature requests, migrations, and A/B tests are not included unless a separate plan is purchased.

11.2. Changes after acceptance are performed under a Change Order and billed at the agreed rate or quoted as a fixed add‑on.

12) Cancellation & Termination

12.1. Client cancellation before start: refundable less any documented costs.

12.2. Client cancellation after start: the initial 50% is retained to cover work performed and reserved capacity. Additional work completed beyond the deposit may be invoiced proportionally.

12.3. Inactivity. If the project remains inactive 30+ days due to missing Client inputs, the Company may close the project and invoice the work performed; a restart may require a new schedule/fee.

12.4. Either party may terminate for material breach not cured within 10 business days of written notice.

13) Portfolio & Credit

13.1. Unless an NDA or written agreement states otherwise, the Company may showcase the project in its portfolio and include a small credit link in the site footer. If the Client requests removal of the credit, a reasonable one‑time fee may apply to cover rework.

14) Confidentiality

Each party shall keep confidential the other party’s non‑public information (business, technical, credentials) and use it solely for the project. This obligation survives termination.

15) Subcontractors

The Company may use vetted subcontractors/suppliers to deliver the Services. The Company remains responsible for overall delivery.

16) Warranties & Liability (Protective Clause)

16.1. No implied warranties. Except as expressly stated, the Services and the Site are provided “as is” without warranties of merchantability, fitness for a particular purpose, or non‑infringement.

16.2. Limitation of liability. To the maximum extent allowed by law, the Company’s aggregate liability for any claim related to the Services or the Site shall not exceed the total amount paid by the Client to the Company for the specific service giving rise to the claim.

16.3. Exclusion of damages. The Company shall not be liable for indirect, incidental, special, punitive, or consequential damages (including lost profits, revenue, or data), even if advised of the possibility.

16.4. Nothing herein limits liability where prohibited by law.

17) Governing Law & Jurisdiction

These Terms are governed by Spanish law. For any dispute, the parties submit to the Courts of Barcelona (Spain), without prejudice to mandatory consumer protection rules if applicable.

18) Miscellaneous

18.1. Entire Agreement. These Terms plus any SOW form the entire agreement.

18.2. Order of precedence. SOW > these Terms > any marketing materials.

18.3. Severability. If any clause is invalid, the remainder remains in force.

18.4. Assignment. The Client may not assign the Agreement without consent; the Company may assign or novate to an affiliated entity in connection with reorganization.

18.5. Updates. We may update these Terms for legal/technical reasons; the current version and date are posted here.
